Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and Hold On World, a trade name of Anette Erazo, an individual sole proprietor domiciled in Quito, Pichincha, Ecuador ("Hold On World," "we," "us," or "our"), governing your access to and use of the website located at holdonworld.shop (the "Site") and any purchase you make through it. By accessing the Site, browsing our products, creating an account (if applicable), or placing an order, you agree to be bound by these Terms. If you do not agree, you must not use the Site.

1. Who We Are

Hold On World is not, as of the date of these Terms, incorporated as a corporation, limited liability company, or any other registered legal entity in Ecuador, the United States, or any other jurisdiction. It is a commercial trade name under which Anette Erazo operates as a natural person under the laws of the Republic of Ecuador. Every reference to "Hold On World" in these Terms refers to Anette Erazo personally, trading under that name.

2. Eligibility

The Site and its products are intended for individuals who are at least eighteen (18) years of age and who have the legal capacity to enter into a binding contract. By placing an order, you represent and warrant that you meet these requirements. We currently ship exclusively within the United States; by placing an order, you represent that your shipping address is located within the United States.

3. Description of Products and Services

Hold On World sells apparel and related goods that are manufactured on a print-on-demand basis by our third-party fulfillment partner, Printify, Inc. ("Printify"), and its network of independent print providers. We do not hold pre-manufactured inventory; each item is produced specifically in response to your order. Product descriptions, images, and pricing are presented in good faith but are not warranted to be entirely error-free, and colors may vary slightly from what is displayed on your screen due to differences in device displays.

4. Accounts

You may be able to complete a purchase as a guest, without creating an account. If you choose to create an account through the Site's checkout system, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at the email address in Section 16 if you suspect unauthorized use of your account.

5. Orders, Pricing, and Acceptance

All orders are subject to acceptance by us. We reserve the right to refuse, limit, or cancel any order, at any time prior to production, for reasons including but not limited to suspected fraud, pricing or listing errors, unavailability of a product, or errors in the order or product information. If we cancel an order after payment has been collected, we will issue a full refund to your original payment method. Prices are listed in United States Dollars (USD) and are subject to change without notice; the price charged will be the price displayed at the time you complete checkout. Applicable sales tax, if any, will be calculated and displayed at checkout.

6. Payment

Payment is processed through third-party payment processors made available via our Shopify checkout, which may include Shopify Payments, PayPal, and other providers Shopify enables from time to time. By providing payment information, you represent that you are authorized to use the payment method provided. We do not directly collect, view, or store full payment card numbers or card verification values; these are handled entirely by our payment processors in accordance with their own security standards, including PCI-DSS where applicable.

7. Shipping

Shipping is governed by our separate Shipping Policy, which is incorporated into these Terms by reference. In summary: products are made to order, shipping is currently limited to destinations within the United States, and estimated production and shipping timeframes are displayed at checkout and are not guaranteed delivery dates.

8. Returns and Refunds

Returns, reprints, and refunds are governed by our separate Refund Policy, which is incorporated into these Terms by reference. In summary: because products are made to order, we offer a free reprint or full refund only for items that arrive damaged, defective, or misprinted, reported within thirty (30) calendar days of delivery; we do not offer refunds or exchanges for buyer's remorse or for sizes or colors chosen incorrectly by the customer.

9. Intellectual Property

The Site and all content appearing on it — including but not limited to the "Hold On World" name, the "World On Hold" phrase, all associated logos, the incomplete-circle imagotipo, product designs, photography, video, copy, and the overall look and feel of the Site — are the property of Hold On World and/or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property, except the limited right to view the Site and purchase products for your personal, non-commercial use. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written consent.

9.1 User-Generated Content

If you submit content to us or tag us on social media (including photos, reviews, or comments referencing Hold On World), you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to reproduce, display, and use that content in connection with promoting Hold On World across our website, social media, and marketing materials, provided that we will make reasonable efforts to credit you where practicable. You represent that you own or have the necessary rights to grant this license and that your content does not infringe any third party's rights.

10. Prohibited Uses

You agree not to use the Site to:

—   Violate any applicable law or regulation, including consumer protection, intellectual property, or data protection law.

—   Engage in fraudulent transactions or provide false information at checkout.

—   Scrape, data-mine, or use automated means to access the Site without our prior written permission.

—   Attempt to gain unauthorized access to any portion of the Site, our systems, or our service providers' systems.

—   Reverse engineer, decompile, or otherwise attempt to extract the source code of any software underlying the Site.

—   Upload or transmit any material that is unlawful, defamatory, obscene, or infringing of a third party's rights.

11. Third-Party Services

The Site relies on third-party service providers, including Shopify Inc. (hosting and checkout), Printify, Inc. (fulfillment), and payment, analytics, and advertising providers identified in our Privacy Policy and Cookie Policy. We are not responsible for the acts, omissions, availability, or performance of these third parties beyond our reasonable control, although we select and work with them in good faith to provide you with the Services.

12. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT WHERE SUCH DISCLAIMERS ARE PROHIBITED BY APPLICABLE MANDATORY CONSUMER PROTECTION LAW, IN WHICH CASE SUCH MANDATORY LAW SHALL GOVERN TO THE EXTENT REQUIRED.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOLD ON WORLD OR ITS OPERATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF YOUR USE OF THE SITE OR PRODUCTS PURCHASED THROUGH IT. IN ALL CASES, OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR ORDER SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE MANDATORY LAW.

14. Indemnification

You agree to indemnify and hold harmless Hold On World and its operator from any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Site, or your violation of any law or third-party right.

15. Governing Law and Dispute Resolution

These Terms, and any dispute arising out of or relating to them, your order, or your use of the Site, shall be governed by and construed in accordance with the laws of the Republic of Ecuador, without regard to its conflict-of-laws principles. Any such dispute shall be submitted to the competent courts of Quito, Pichincha, Ecuador, except where applicable mandatory consumer protection law of your place of residence grants you the right to bring a claim in your local jurisdiction or through a specific consumer dispute mechanism, in which case such mandatory law shall prevail to the extent required.

16. Changes to These Terms

We may revise these Terms from time to time to reflect changes in our business, our service providers, or applicable law. The "Last Updated" date above indicates the most recent revision. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Refund Policy (each incorporated by reference), constitute the entire agreement between you and Hold On World regarding your use of the Site and supersede any prior agreements or understandings, written or oral, regarding the same subject matter.
